1. Definitions
In these Terms & Conditions, the following terms have the meanings set forth below:
- "Meridique," "we," "us," or "our" refers to Meridique, a corporate housing service provider operating in Malaysia
- "Client" or "you" refers to the corporate entity or individual entering into a service agreement with Meridique
- "Employee" refers to the individual occupying housing arranged through our services
- "Property" refers to the apartment, townhome, or villa arranged through Meridique's services
- "Services" refers to the housing coordination, inspection, preparation, and support services provided by Meridique
- "Lease Agreement" refers to the rental contract between the property owner and the Client or Employee
2. Acceptance of Terms
By engaging Meridique's services, submitting an inquiry, or signing a service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
These terms apply to all users of our services, including corporate clients, HR representatives, and individual employees using accommodations arranged by Meridique.
3. Service Description
Meridique provides corporate housing coordination services in Malaysia, which include:
- Identifying suitable properties based on client requirements
- Conducting pre-arrival inspections of properties
- Coordinating lease agreements between clients and property owners
- Arranging pre-arrival cleaning and preparation
- Providing welcome packs with household essentials
- Coordinating maintenance requests during the lease period
- Providing relocation support services when included in the service agreement
- Managing lease renewals and terminations
Meridique acts as a facilitator between Clients and property owners. We do not own the properties and are not the landlord in lease agreements.
4. Eligibility and Capacity
Our services are designed for corporate relocations and business purposes. Clients and Employees must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding agreements
- Provide accurate and complete information during the inquiry and arrangement process
- Possess valid identification and right to reside in Malaysia
5. Client Responsibilities
5.1 Information Accuracy
Clients agree to provide accurate, current, and complete information regarding housing requirements, arrival dates, budget constraints, and employee needs. Changes to requirements must be communicated promptly.
5.2 Payment Obligations
Clients are responsible for timely payment of all service fees, security deposits, and rental amounts as specified in the service agreement and lease documents. Payment terms will be clearly outlined in the service agreement.
5.3 Property Care
Employees occupying properties arranged through Meridique must maintain the property in good condition, comply with property rules, and report maintenance issues promptly. Clients are financially responsible for damages beyond normal wear and tear.
5.4 Compliance with Laws
Clients and Employees must comply with all applicable Malaysian laws and regulations, including visa requirements, local ordinances, and building regulations.
6. Service Fees and Payment
6.1 Fee Structure
Meridique charges service fees for housing coordination and support. Fee structures vary based on the type of property and level of service required. All fees will be clearly outlined in the service agreement before commitment.
6.2 Currency and Payment Methods
All fees are quoted and payable in Malaysian Ringgit (RM). We accept bank transfers, corporate checks, and credit card payments. Payment processing fees may apply for credit card transactions.
6.3 Security Deposits
Security deposits are required for all properties and are held by the property owner, not Meridique. Deposit amounts typically equal one to three months' rent, as specified in the lease agreement. Deposits are refundable upon satisfactory property inspection at lease termination.
6.4 Refund Policy
Service fees are generally non-refundable once property inspection and arrangement services have commenced. However, if we are unable to provide a suitable property meeting agreed requirements, service fees may be refunded at our discretion.
7. Lease Agreements
Lease agreements are contracts directly between the Client (or Employee) and the property owner. While Meridique facilitates these agreements, we are not a party to the lease contract. Clients are responsible for:
- Reviewing lease terms carefully before signing
- Understanding their obligations under the lease agreement
- Complying with all lease terms throughout the rental period
- Communicating directly with property owners when required by the lease
Meridique can provide guidance on typical lease terms but cannot provide legal advice. Clients are encouraged to seek independent legal counsel if needed.
8. Property Inspections and Condition
While we conduct pre-arrival inspections to verify property condition, Meridique does not guarantee that properties will be defect-free or meet all subjective preferences. We make reasonable efforts to ensure properties are clean, functional, and as described, but:
- Minor cosmetic issues may be present
- Wear and tear consistent with the property's age is expected
- Immediate resolution of all issues prior to move-in cannot be guaranteed
- Clients should conduct their own inspection before accepting a property
We will work to address reasonable concerns raised during the initial move-in period.
9. Maintenance and Repairs
Meridique coordinates maintenance requests between Employees and property owners or contractors. However:
- Emergency issues (plumbing failures, electrical hazards) are addressed within 24 hours
- Routine maintenance requests are typically resolved within 72 hours
- Timeline may vary based on contractor availability and issue complexity
- Property owners make final decisions on repair approaches
- Clients remain responsible for damages caused by Employee negligence or misuse
10. Lease Modifications and Termination
10.1 Renewal
Lease renewals are subject to property owner approval and market conditions. Rental rates may change upon renewal. We will notify Clients of upcoming lease expirations at least 60 days in advance.
10.2 Early Termination
Early termination terms are specified in individual lease agreements. When negotiating leases, we attempt to include reasonable early termination clauses, but these are subject to property owner agreement. Early termination may result in financial penalties as outlined in the lease.
10.3 Assignment Changes
If an Employee's assignment changes unexpectedly, Clients should notify Meridique immediately so we can work with the property owner to find a reasonable solution.
11. Intellectual Property
All content on our website, including text, graphics, logos, photographs, and software, is the property of Meridique or our licensors and is protected by copyright and trademark laws. Clients may not reproduce, distribute, or create derivative works without our written permission.
12. Disclaimers
Our services are provided on an "as is" basis. While we make reasonable efforts to provide quality service:
- We do not guarantee that suitable properties will be available for all requests
- We cannot control property owner decisions or behavior
- We are not responsible for the condition or safety of properties beyond our inspection procedures
- We do not guarantee specific outcomes or employee satisfaction with housing arrangements
- Property descriptions are based on information provided by owners and may contain inaccuracies
This service is a professional facilitation service, not a guarantee of housing satisfaction or relocation success.
13. Limitation of Liability
To the maximum extent permitted by Malaysian law, Meridique's total liability for any claims arising from our services shall not exceed the total service fees paid by the Client in the 12 months preceding the claim.
We are not liable for:
- Indirect, consequential, or incidental damages
- Loss of profits, revenue, or business opportunities
- Property damage not caused by our direct negligence
- Personal injury occurring at properties
- Disputes between Clients and property owners
- Force majeure events beyond our reasonable control
14. Indemnification
Clients agree to indemnify and hold harmless Meridique, its employees, and contractors from any claims, damages, or expenses arising from:
- Breach of these Terms & Conditions by the Client or Employee
- Violation of laws or regulations
- Damage to properties beyond normal wear and tear
- Third-party claims related to Employee conduct
15. Dispute Resolution
15.1 Governing Law
These Terms & Conditions are governed by the laws of Malaysia. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
15.2 Informal Resolution
Before pursuing formal legal action, parties agree to attempt resolution through good-faith negotiation. Clients should first contact our management team at legal@meridiqda to discuss concerns.
15.3 Mediation
If informal resolution fails, parties may agree to mediation through a mutually acceptable mediator before proceeding to litigation.
16. General Provisions
16.1 Entire Agreement
These Terms & Conditions, together with any signed service agreement, constitute the entire agreement between Meridique and the Client regarding our services.
16.2 Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.
16.3 Waiver
Failure by Meridique to enforce any provision of these terms shall not constitute a waiver of that provision or our right to enforce it in the future.
16.4 Assignment
Clients may not assign or transfer their rights or obligations under these terms without our written consent. Meridique may assign these terms in connection with a merger, acquisition, or sale of assets.
16.5 Notices
All notices under these terms shall be in writing and delivered via email to the contact information provided in service agreements, or by mail to our registered office address.
17. Changes to Terms
Meridique reserves the right to modify these Terms & Conditions at any time. Changes will be posted on our website with the updated "Last Updated" date. For existing Clients, significant changes will be communicated via email at least 30 days before taking effect.
Continued use of our services after changes are posted constitutes acceptance of the modified terms. If you do not agree to the changes, you may terminate your service agreement in accordance with its terms.
